1) Agreement to Terms
Welcome to Modus. These Terms of Service ("Terms") are a binding agreement between you and Modus Media LLC, a New York limited liability company ("Modus," "we," "us," or "our"), governing your access to and use of the Modus website(s), mobile applications, newsletters, social media accounts, and any other products, features, or services we offer (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you may not access or use the Services.
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2) Changes to These Terms
We may revise these Terms at any time by posting an updated version on this page and updating the "Last Updated" date above. Changes take effect as soon as they are posted. For material changes, we will make reasonable efforts to give notice, such as a banner on the Site or an email to registered users. Your continued use of the Services after a change takes effect means you accept the revised Terms.
3) Who May Use the Services
You must be at least 13 years old to create an account or submit content. If you are a minor in your jurisdiction, you may use the Services only with the involvement and consent of a parent or legal guardian. By using the Services, you represent that you meet these requirements and have not previously been suspended or removed from the Services.
4) The Services
Modus provides news, commentary, analysis, and related digital content (the "Content"), along with features such as reader accounts, comments, and newsletters. The Services are made available for your personal, non-commercial use and for general informational purposes only.
We may change, suspend, or discontinue any part of the Services at any time, with or without notice, and we are not liable to you or any third party for doing so.
Nothing on the Services constitutes financial, legal, medical, or other professional advice, and Content should not be relied upon as a substitute for independent judgment or professional consultation.
5) Your Account
To access certain features, such as commenting or newsletters, you may need to register for an account. When you register, you agree to:
provide accurate, current, and complete information, and keep it up to date;
keep your login credentials confidential and not share them with anyone else;
notify us promptly at [email protected] if you become aware of any unauthorized use of your account; and
accept responsibility for all activity under your account, whether or not you authorized it.
We may suspend, terminate, or refuse to register an account at our discretion, including if we believe information you provided is false or misleading, or if you violate these Terms.
6) User Content and Conduct
6.1) Scope
The Services may let you post comments, participate in discussions, or submit tips, photos, videos, or other material ("User Content"). This section governs any User Content you submit.
6.2) License You Grant Us
You retain ownership of your User Content. By submitting it, you grant Modus a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, translate, distribute, and publicly display that User Content in connection with operating, promoting, and improving the Services, in any media now known or later developed.
6.3) Your Responsibilities
You represent and warrant that: (a) you own or have obtained all rights and permissions necessary to submit your User Content and grant the license above; and (b) your User Content does not infringe or violate a third party's intellectual property rights, privacy rights, or any applicable law.
6.4) Prohibited Conduct
You agree not to use the Services to:
post content that is unlawful, defamatory, harassing, threatening, hateful, or discriminatory;
impersonate any person or entity, or misrepresent your affiliation with one;
post spam, unauthorized advertising, or engage in any scheme to defraud other users;
upload viruses, malware, or code designed to disrupt or damage the Services;
scrape, crawl, or use any automated process to access or harvest Content or data from the Services, except as we expressly authorize;
use Content or the Services to train, fine-tune, or otherwise develop any machine learning, AI, or similar model, without our prior written consent;
circumvent or interfere with any security or access-control features of the Services;
violate any applicable law; or
encourage or assist a third party in doing any of the above.
6.5) Moderation
We may, but have no obligation to, monitor, review, edit, or remove any User Content at our discretion, for any reason, without notice, and may suspend or terminate access for violating this section. We do not endorse and are not responsible for User Content; opinions expressed in it belong to the author, not Modus.
7) Our Content and Intellectual Property
7.1) Ownership
Except for User Content, all Content on the Services — including text, articles, graphics, photographs, video, audio, data, "look and feel," and software — is owned by Modus or our licensors and is protected by copyright, trademark, and other intellectual property laws. No right, title, or interest in the Content is transferred to you; all rights not expressly granted are reserved.
7.2) Permitted Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, revocable license to access and view the Content for personal, non-commercial use.
7.3) Restrictions
Except as permitted above or with our prior written consent, you may not copy, republish, redistribute, archive, sell, license, syndicate, frame, or create derivative works from any Content for any commercial or public purpose. This includes using automated tools or bots to harvest Content, and using Content to train or develop any artificial intelligence or machine learning model or system.
7.4) Trademarks
"Modus" has filed to obtain associated logos and marks as trademarks. You may not use them without our prior written permission.
8) Copyright Complaints
If you believe material on the Services infringes your copyright, send a written notice to our designated agent that includes:
a physical or electronic signature of the copyright owner or an authorized representative;
identification of the copyrighted work claimed to be infringed;
identification of the allegedly infringing material and information sufficient to locate it;
your contact information;
a statement of good-faith belief that the use is unauthorized; and
a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act.

We may remove or disable access to material in response to a valid notice and may terminate the accounts of repeat infringers, consistent with the Digital Millennium Copyright Act.
9) Advertising and Third-Party Content
Modus is supported in part by advertising and sponsored content, which will generally be identified as such. Your interactions with advertisers are solely between you and the advertiser.
The Services may link to third-party websites. We do not endorse and are not responsible for the content or practices of any third-party site. Use of any third-party site is at your own risk and subject to its own terms and privacy policy.
10) Privacy
Our collection and use of personal information is described in our Privacy Policy, incorporated into these Terms by reference. By using the Services, you consent to that collection and use.
11) Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
12) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MODUS AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so some of the above may not apply to you.
13) Indemnification
You agree to defend, indemnify, and hold harmless Modus and our officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your access to or use of the Services; (b) your User Content; or (c) your violation of these Terms.
14) Termination
You may stop using the Services at any time. We may suspend or terminate your access to all or part of the Services, with or without notice, for any reason, including a violation of these Terms. Provisions that by their nature should survive termination — including Sections 6 through 18 — will survive.
15) Governing Law and Venue
These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any legal action or proceeding relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Kings County, New York, and you consent to the personal jurisdiction of those courts.
16) Resolving Disputes
If you have a dispute with us, please contact us first at [email protected] so we can try to resolve it informally. Nothing in this section limits your right to bring a claim in small claims court where available, or in the courts identified in Section 15.
17) Resolving Disputes
Entire Agreement. These Terms, together with our Privacy Policy and any additional terms referenced here, are the entire agreement between you and Modus regarding the Services and supersede any prior agreements.
Severability. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in effect.
No Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
No Third-Party Beneficiaries. These Terms do not create rights for any third party.
Headings. Section headings are for convenience only and have no legal effect.
